Terms and Conditions

These terms govern access to darkelogix self-serve software, release artifacts, and evaluation materials offered through darkelogix.ai.

1) Seller identity

darkelogix.ai is operated by darkelogix, Inc. References to "darkelogix", "we", "our", or "us" mean darkelogix, Inc.

2) Products

darkelogix offers software artifacts and related materials through this site, including MIT-licensed governance adapters such as OpenClaw Trusted Mode and Codex Trusted Mode, proprietary SDE runtime licenses, deployment bundles, and compatibility materials.

Human-delivered implementation, rollout, certification, or advisory services are not sold through this self-serve checkout flow. If such services are offered, they are handled separately through enterprise contracting.

3) License structure

openclaw-trusted-mode is licensed separately under the MIT License. The SDE PDP runtime, hardened images, deployment bundles, and related enterprise assets are proprietary and require a separate commercial license or written permission from darkelogix.

Use of proprietary SDE software delivered through this site is subject to the applicable order, fulfillment notice, and software license terms presented at or before delivery. darkelogix may require affirmative acceptance of those software terms before granting access to proprietary artifacts.

4) Orders and billing

For self-serve online orders, our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for these orders. Paddle handles checkout, taxes, payment processing, and buyer billing support for those transactions.

Enterprise services or custom engagements are quoted and contracted separately and are not part of the Paddle self-serve checkout flow on this site.

5) Subscription renewals and cancellation

Subscription plans renew according to the billing cadence selected at purchase, unless cancelled before the next renewal date. Cancellation stops future renewals. Access to paid update entitlements and other subscription benefits continues through the end of the active paid term unless otherwise specified in the applicable order or contract.

6) Fulfillment

After payment is successfully completed, darkelogix or its merchant-of-record workflow will provide access to the purchased software artifacts, license or activation instructions, and any included verification materials. Delivery may occur by download, email, portal access, or another electronic fulfillment method stated at purchase.

7) Acceptable use

You may not use darkelogix offerings for unlawful activity, rights-infringing conduct, or misuse of third-party systems. You are responsible for operating the software only within environments and permissions you are authorized to control.

8) Export controls and sanctions

Software, artifacts, and related materials offered through this site may be subject to United States export control and sanctions laws. You may not purchase, download, access, use, export, reexport, transfer, or make the offerings available in violation of applicable export or sanctions laws, including for prohibited end users, prohibited destinations, or prohibited end uses.

By ordering or accessing software or materials from this site, you represent that neither you nor the organization you represent is a restricted party, acting on behalf of a restricted party, or located in or ordinarily resident in a comprehensively embargoed jurisdiction to the extent access would be prohibited by applicable law. darkelogix may screen transactions, request compliance information, and refuse, suspend, or terminate fulfillment or access where legal or compliance concerns arise.

9) Evaluation and compatibility materials

Compatibility declarations, release evidence, and evaluation kits describe tested or documented conditions only. They do not guarantee fitness for every deployment or runtime combination.

Labels such as CERTIFIED_ENFORCED, compatibility certification, or similar validation language refer to darkelogix internal validation status for the specifically declared version, runtime, and evidence scope only, unless an express signed agreement states otherwise. They are not representations of government approval, legal compliance, or third-party certification.

10) Warranty disclaimer

Except where expressly stated in a signed agreement, darkelogix software and materials are provided "as is" and "as available", without warranties of any kind, to the maximum extent permitted by law.

darkelogix does not warrant that the offerings will satisfy any specific legal, regulatory, compliance, certification, security, or audit requirement unless that obligation is expressly stated in a signed agreement.

11) Limitation of liability

To the maximum extent permitted by law, darkelogix will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business interruption arising from use of the site or offerings.

To the maximum extent permitted by law, darkelogix's aggregate liability arising out of or relating to self-serve orders or use of the site or offerings will not exceed the amounts paid by you to darkelogix or its merchant-of-record for the specific self-serve order giving rise to the claim during the 12 months before the event giving rise to liability.

12) Suspension and termination

darkelogix may deny, suspend, or terminate access to the site or offerings where reasonably necessary to protect security, comply with law, address export or sanctions risk, prevent misuse, or enforce these terms or the applicable software license terms.

13) Governing law

Unless otherwise required by mandatory law or superseded by a signed agreement, these terms are governed by the laws of the State of Georgia, excluding its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state courts located in DeKalb County, Georgia, and, if federal jurisdiction exists, the United States District Court for the Northern District of Georgia, Atlanta Division, for disputes relating to these terms or the site.
